UCC Platform Service Agreement

1. Scope of Application

This agreement applies to all activities conducted by users in relation to the UCC platform (including the uccvip.com website, its related pages, systems, and subsequent functionalities), such as visiting, browsing, registering, logging in, submitting information, making inquiries, and using platform services.

The term “user” as used herein refers to the individual or entity performing the aforementioned acts and the account owner, including but not limited to natural persons, legal entities, and their authorized agents. Any use of the platform through the corresponding account shall be deemed an act performed directly by the account owner or by an authorized agent on their behalf.

By checking the box “I have read and agree to the Platform Service Agreement” or otherwise actually using the platform services, the user is deemed to have read, understood, and accepted all contents of this agreement and agrees to be bound thereby.

2. Platform Services

The UCC platform primarily provides vehicle-related information display and service coordination, including but not limited to: vehicle display, vehicle search, inquiry communication, quotation consultation, car selling/replacement applications, inspection and certification, export services, international logistics, and related support services.

The platform has the right to add, delete, upgrade, adjust, or suspend service content, display formats, functional modules, and scope of access based on business needs.

3. User Registration and Account Management

Before using certain functions, users may need to register a platform account and provide true, accurate, complete, and valid information as required. If relevant information changes, users are obliged to update their information promptly to ensure its accuracy.

Users shall properly keep their account, password, and verification information and shall be responsible for all actions occurring under their account.

Users shall not lend, rent, transfer, sell, or authorize others to use their account. If the platform detects risks such as abnormal use, impersonation, or theft of an account, the user agrees that the platform has the right to suspend or terminate access to that account and take further measures.

4. User Information Submission Obligations

The information submitted by users to the platform, such as name, contact information, company name, purchasing needs, vehicle data, car selling information, identification materials, qualification documents, receipt and customs clearance information, shall be true, legal, accurate, and complete. Users warrant that they are the legal owners of the submitted information or have obtained legal, sufficient, and necessary authorization to submit such information to the platform.

Users shall not submit false information, impersonated information, forged materials, misleading demands, or any other illegal or non-compliant content. The platform has the right (but not the obligation) to review the information submitted by users; however, the platform’s review does not reduce or exempt users from the aforementioned warranty obligations.

Any quotation deviations, service delays, transaction disputes, export obstructions, customs clearance failures, infringement of third-party rights, or any other losses or legal liabilities arising from user-submitted information being untrue, inaccurate, incomplete, or unauthorized shall be borne solely by the user.

5. Vehicle Information and Inquiry Description

The vehicle images, parameters, prices, mileage, registration date, configuration, location, energy type, vehicle condition descriptions, etc., displayed on the platform are for reference only. The platform merely displays such information and does not constitute any warranty by the platform regarding its truthfulness or accuracy.

Users acknowledge and agree that due to reasons such as vehicle batch differences, manual entry errors, information synchronization delays, vehicle source adjustments, configuration changes, etc., the displayed information may differ from the actual situation. The displayed content does not constitute a commitment regarding transaction completion, continued inventory availability, minimum price, final configuration, or immediate delivery. The final terms of any transaction are subject to the quotation, contract, inspection results, export documents, and other written agreements confirmed separately by the parties.

6. Car Selling/Replacement Service Description

When submitting a car selling, replacement, or valuation request through the platform, users shall warrant that they have legal, complete, and undisputed disposal rights over the vehicle and that the vehicle has no major accidents, water damage, fire damage, odometer tampering, liens, seizure, cloned plates, title defects, or other circumstances that may affect its value or lawful transaction.

The valuation, quotation, or recycling suggestions provided by the platform are for preliminary reference only, generated based on the information provided by the user, and do not constitute a final purchase commitment by the platform or any third party.

Users explicitly acknowledge and agree that if they violate the warranty in the first paragraph of this article or withhold other material facts affecting the transaction, the platform has the right to refuse service and hold the user liable for all losses incurred by the platform as a result.

7. Export, Inspection, Certification, and Logistics Services

The platform may provide or coordinate export services, inspection and certification, international logistics, and related support for users based on business needs.

Users acknowledge and expressly agree that:

(1) Relevant services may be actually provided by third-party service providers, and the platform only provides information connection or coordination facilitation between users and third-party service providers and is not the provider of such services;

(2) Such services are inevitably affected by uncontrollable factors such as destination country policies, customs requirements, port arrangements, logistics timelines, weather conditions, war, strikes, government actions, third-party performance capabilities, and document review status. The platform shall not be liable for any delays, failures, or losses arising from such factors.

Specific costs, taxes, port charges, insurance, destination charges, and other expenses shall be based on the final confirmed lists, quotations, or contracts agreed upon by the parties. If such fees are collected by the platform on behalf of others, the platform acts only as a collection and payment agent, and any related disputes shall be resolved between the user and the service provider.

8. User Code of Conduct

Users shall not violate laws, regulations, administrative rules, or public order and good morals.

Users shall not impersonate others, steal others’ accounts, or submit false information.

Users shall not post or transmit content that is illegal, fraudulent, defamatory, obscene, insulting, threatening, infringing, or revealing others’ privacy.

Users shall not interfere with, disrupt, or attack platform systems, or engage in any form of crawling, bulk traffic generation, malicious registration, or interface abuse.

Users shall not, without permission, crawl, copy, reprint, or sell platform data, vehicle information, images, or page content.

Users shall not use the platform to engage in money laundering, illegal fundraising, fraud, false transactions, smuggling, commercial bribery, or other illegal activities.

Users shall not post any false or misleading commercial information or engage in any activities that may damage the platform’s goodwill or legitimate rights and interests.

If a user violates the above code of conduct, the platform has the right to take immediate measures without prior notice, and the user shall bear all resulting legal liabilities and consequences independently.

9. Intellectual Property

The intellectual property rights (including but not limited to copyrights, trademark rights, patent rights, trade secrets) of the platform’s page design, program code, database, images, text, audio and video, trademarks, logos, layouts, documents, and other content belong to the platform or the relevant rights holders.

Without the prior written consent of the platform, no one may copy, modify, disseminate, display, mirror, crawl, reverse engineer, or use for commercial purposes.

10. Fees and Payment

Some information display and basic functions of the platform may be free, while some services may be fee-based. The platform has the right to independently determine the fee items, fee standards, and payment methods based on market conditions and has the right to make adjustments.

If fee-based services are involved, the platform or relevant service personnel will separately explain the fee content, billing method, payment timing, or refund rules. If the user continues to use the relevant fee-based services, they shall be deemed to have accepted such fee rules and standards.

11. Disclaimer

The platform is a vehicle information display, service coordination, and comprehensive support platform. Unless otherwise explicitly agreed in writing, the platform does not assume any obligations under any purchase, transportation, inspection, or certification contracts, nor is it a party to any such contracts.

The platform has used reasonable efforts to ensure information is timely and accurate but does not warrant that all page content is error-free, complete, real-time, or suitable for all user purposes. Users expressly agree that they use the platform services at their own risk.

The platform shall not be liable for any service interruption or loss caused by network failure, system maintenance, hacker attack, communication anomaly, third-party service interruption, policy changes, transportation delays, customs reasons, force majeure, etc.

12. Handling of Breach

If a user violates this agreement or relevant rules, the platform has the right to take actions depending on the circumstances, including warnings, temporary or permanent content deletion, function restrictions, service suspension, account blocking, contract termination, and legal action. The platform’s exercise of such rights does not constitute an assumption of any obligation and shall not incur any liability to the user or any third party.

If a user’s actions cause losses to the platform, other users, or third parties, including but not limited to investigation costs, attorney fees, litigation costs, preservation fees, insurance premiums, notary fees, travel expenses, goodwill losses, and compensation, penalties, or fines paid to third parties, the user shall bear all such liability for damages.

13. Agreement Amendment, Notice, and Dispute Resolution

The platform has the right to amend this agreement based on laws and regulations, regulatory requirements, business adjustments, or operational needs, and shall notify users through website announcements, page pop-ups, in-platform notifications, or other reasonable means. If a user does not agree to the amended agreement, they shall immediately stop using the platform services; if they continue to use the platform services, they shall be deemed to have accepted the amended agreement.

The platform may send notices to users via website announcements, in-platform messages, SMS, email, phone, instant messaging tools, or other contact methods reserved by users. Once sent, the notice is deemed to have been delivered. Users shall ensure their reserved contact information is accurate and valid and promptly pay attention to and check such notices.

The establishment, effectiveness, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People’s Republic of China. Any dispute arising from or in connection with this agreement shall be resolved through negotiation; if negotiation fails, the dispute shall be submitted to the competent people’s court located in the place where the platform operator is domiciled.

14. Severability

If any provision of this agreement is held by a competent court or authority to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or shall be severed from this agreement without affecting the validity of the remaining provisions. The other provisions of this agreement shall remain in full force and effect.

15. Language

In the event of any inconsistency between the Chinese text of this agreement and the English text, the Chinese text shall prevail.
